These Terms of Use (this “Agreement”) are a binding agreement between you and Vitalspark (“Vitalspark,” “we,” “us,” or “our”) governing your use of the Vitalspark mobile application and related services (the “App” or “Service”). By creating an account or using the App, you agree to this Agreement. If you do not agree, do not use the App.
1. Eligibility & accounts
You must be at least 18 years old to use the App. You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Provide accurate information and keep it current.
2. License
Subject to this Agreement, Vitalspark grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the App for your own personal, non-commercial use, for as long as we choose to make the App available to you. We reserve all rights not expressly granted.
3. What the App provides
The App offers AI-assisted personal-development coaching across personal, relationship, parenting, and business modes. Coaching is generated by artificial intelligence using assessments you complete and information you provide, and is tailored using Vitalspark’s proprietary frameworks.
4. Not professional advice; no emergency service
The App is for personal growth and informational purposes only. It is not medical, psychological, therapeutic, legal, or financial advice, and it is not a substitute for a licensed professional. Coaching responses are AI-generated and may be inaccurate or incomplete — use your own judgment.
The App is not an emergency or crisis service. If you are experiencing a medical or mental-health emergency, or thoughts of harming yourself or others, contact your local emergency services or a crisis line immediately.
5. Subscriptions, free trial & purchases
Coaching is offered as an auto-renewing monthly subscription that begins with a free trial. If you do not cancel before the trial ends, the subscription automatically converts to a paid subscription and renews each period until cancelled. Certain reports may be unlocked through one-time purchases.
All payments are processed by the Apple App Store or Google Play under their terms, not by Vitalspark. Manage or cancel your subscription in your store account settings; cancel at least 24 hours before a renewal or the end of a trial to avoid being charged. One-time purchases unlock access for as long as the App remains available and are non-refundable except where required by law or store policy. Prices, features, and offerings may change.
6. Your content & the rights you grant us
You retain ownership of the information and materials you submit, including messages, assessment inputs, uploaded documents, and information you provide about other people (such as a child or a partner).
You grant Vitalspark a worldwide, royalty-free, sublicensable, and transferable license to host, store, use, process, reproduce, modify, and create derivative works from your content in order to operate, provide, personalize, secure, improve, and develop the Service and its current and future features (including, for example, referral and connection/linking features), and for our other business purposes. This license continues for the duration described in our Privacy Policy.
You represent that you have the right to provide any information about other people that you submit, and that doing so does not violate their rights or any law.
7. Acceptable use
You agree not to: use the App unlawfully or for anyone under 18; reverse engineer, decompile, scrape, or attempt to extract the App’s source, models, prompts, or underlying frameworks; use the App or its outputs to build or train a competing product or service; resell or commercially exploit the App; upload another person’s information without authorization; or interfere with the App’s operation or security.
8. Intellectual property
The App and all related content, software, models, and Vitalspark’s proprietary frameworks (including its brain-type, spectrum, and motivator models) are owned by Vitalspark or its licensors and are protected by intellectual-property laws. Except for the license granted to you, you receive no rights in them.
9. Third-party services
The App relies on third-party providers for cloud hosting, artificial intelligence, payments, messaging, and related functions. Their terms and policies may apply to your use, and we are not responsible for third-party services.
10. Availability; changes; life of the App
The App is provided on an “as available” basis. We may add, modify, suspend, or discontinue the App or any feature, content, or your access, at any time, with or without notice, and without liability. We have no obligation to maintain, support, store, or make the App or your data available beyond the period we choose to offer the Service.
11. Termination
We may suspend or terminate your access at any time, including for breach of this Agreement. You may stop using the App and delete your account at any time. On termination, your license ends and we may delete your data as described in the Privacy Policy. Sections that by their nature should survive termination (including content licenses, intellectual property, disclaimers, limitations of liability, and the business-transfer terms) will survive.
12. Business changes & dissolution
We may assign or transfer this Agreement and your information in connection with a merger, acquisition, investment, financing, reorganization, sale of assets, bankruptcy, or dissolution. If the App or Vitalspark is discontinued, wound down, or dissolved, the Service and our obligations to you end, and we will not be liable for any resulting loss of access to, or loss of, content or data in the App.
13. Disclaimers
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE APP OR ITS OUTPUTS WILL BE ACCURATE, RELIABLE, OR UNINTERRUPTED.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VITALSPARK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $50.
15. Indemnification
You agree to indemnify and hold Vitalspark harmless from claims, damages, and expenses arising out of your use of the App, your content, your violation of this Agreement, or your violation of any law or the rights of another.
16. Apple App Store & Google Play
This Agreement is between you and Vitalspark only, not with Apple Inc. or Google. The app stores are not responsible for the App or its content. Apple and Google have no obligation to provide maintenance or support for the App and are not responsible for addressing any claims relating to the App, including product-liability, legal, or intellectual-property claims, or any failure to meet legal or regulatory requirements.
You must comply with the applicable app store’s terms of service. Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
17. Changes to these Terms
We may update this Agreement from time to time. Material changes will be reflected by updating the “Last updated” date, and your continued use of the App after changes take effect constitutes acceptance.
18. Governing law
This Agreement is governed by the laws of the jurisdiction in which Vitalspark is established, without regard to its conflict-of-laws rules, except where the applicable app store terms or mandatory local law provide otherwise.
